TieTek.AI Limited Fair Use Policy


1. Introduction

This Fair Use Policy (“Policy”) forms part of the Software as a Service Contract (the “Contract”) governing the use of TieTek.Ai Limited’s Matterbee software services (“Software Services”). The purpose of this Policy is to ensure that use of the Software Services is fair, reasonable, and in accordance with Your chosen Subscription Tier. By accessing or using the Software Services, you agree to comply with this Policy.

2. General Principles of Fair Use
Your use of the Software Services must be lawful, consistent with the Contract and within the technical and commercial boundaries of usage, as detailed in the Matterbee AI Storage Pricing and Usage Schedule which forms part of the Contract. Excessive, abusive, or fraudulent use of the Services is not permitted.3. Prohibited UsesYou must not use the Software Services in any way that:

(a) breaches applicable laws or regulations (including intellectual property, data protection, export control, and computer misuse laws);
(b) involves unauthorised access, interference, or disruption of systems, networks, or data;
(c) attempts to reverse-engineer, decompile, or otherwise circumvent security or licensing controls;
(d) exceeds reasonable usage thresholds (as described in section 4);
(e) causes harm to Us, or Our systems, reputation, customers and/or other users;
(f) involves resale, sublicensing, or provision of the Software Services to third parties except as expressly permitted;
(g) uses automated tools, bots, or scripts in a manner inconsistent with the intended use of the Software Services.

4. Fair Usage Limits
The Software Services are provided on the assumption of reasonable and proportionate use. We have determined limits which apply (technical, operational, or contractual) to your use of the Software Services and these are detailed in the Matterbee AI and Storage Pricing and Usage Schedule (the “Pricing and Usage Schedule”) referenced in and forming part of your Contract.  The Pricing and Usage Schedule limits seek to prevent excessive use which may:negatively impact performance of the Software Services and/or other users’ experience of the same; undermine the commercial viability of the Software Services.Where practical, we will notify you if your usage is deemed excessive and provide an opportunity to reduce usage or agree an appropriate commercial arrangement.

5. Monitoring and Enforcement
Breach of this Policy may result in us exercising our rights under the Contract and/or exercising any other available statutory or legal remedies.

6. Changes to this Policy
We may update this Policy from time to time. The most recent version will always be published on [www.matterbee.co.uk]. Continued use of the Software Services after publication of changes constitutes acceptance of the updated Policy.

7. Governing Law and Jurisdiction
This Policy is governed by and construed in accordance with the laws of England and Wales. Any disputes arising in connection with this Policy shall be subject to the exclusive jurisdiction of the courts of England and Wales.
